Membership Agreement

Member agrees on behalf of self (whether individual or company) and all of its’ employees, agents, guests, or invitees (hereinafter “Licensee”) by entering into a Space License agreement with Tacoma Center Building dba SURGEtacoma (hereinafter “SURGEtacoma” or “Licensor”) agree to abide by the following terms and conditions.

1. PARTIES: The contract is between you, the Member/Licensee and us, SURGEtacoma. You've agreed to a license for use of a space: located at SURGEtacoma 2367 Tacoma Ave. South, Tacoma WA 98402 for use as a commercial space only. The "you" and "your" refer to all members who are work with your company and in no way will be living on the premises.

2. LEASE TERM: This contract is a month-to-month contract and can be terminated with at least 20 days notice prior to the end of monthly rental period.

3. SECURITY DEPOSIT: A security deposit is due on or before the date this Lease Contract is signed. This amount is refundable at the end of the term, less a $50 non-refundable administration fee. Your security deposit will be held in an escrow company or bank escrow account located in US Bank located at: North 26th Street Tacoma Washington 98407 until disposition.

4. KEYS AND FURNITURE: You may be provided with key(s) these keys remain property of SURGEtacoma and must be returned when you terminate your membership of there will be a per key charge. You are welcome to utilize the current furniture that is located in your space. Any furniture that is used or keys issued will remain property of the SURGEtacoma.

5. MONTHLY LICENSE FEE AND CHARGES: You will pay a monthly License Fee, payable in advance and without demand. You must pay your rent on or before the 1st day of each month (due date) with no grace period. Cash is unacceptable without our prior written permission. You must not withhold or offset rent unless authorized by statute. If you don't pay all License Fees and Charges on or before the 5th day of the month, an initial late charge of $25 and $5 a day until paid in full.

6. UTILITIES: ALL BASIC UTILIITES ARE INCLUDED. Which include water, sewer, garbage, electricity and internet access.

7. INSURANCE: We do not maintain insurance to cover your personal property or personal injury. We are not responsible to any resident, guest or occupant for damage or loss of personal property or personal injury from (including but not limited to) fire, smoke, rain, flood water and pipe leaks, hail, ice, snow, lightning, wind, explosions, earthquake, interruption of utilities, theft, hurricane, negligence of other residents, occupant or invited/uninvited guests or vandalism unless otherwise required by law. We urge you to get you own insurance for loses to your personal property or injuries due to theft, fire, smoke, rain, flood water and pipe leaks.

8. no warranty: Licensor makes no warranty or representation as to the fitness of purpose or suitability of the Premises for the Licensee's use, or as to the safety thereof, or as to the other occupants of the Premise or Building, it being irrefutably presumed that Licensee has satisfied itself thereof, and that the Licensee shall use the Premises at its sole risk. Licensee has inspected the Premises and the building and accepts the same “as is” and “where is” and agrees that Licensor is under no obligation to perform any work or provide any materials to prepare the Premises or the building for Licensee.

9. Surrender, Restoration and Holdover: On expiration of the term, or sooner termination of this License, Licensee shall, without demand, promptly surrender and deliver the Desk and key(s) to Licensor. If Licensee is in default of the terms of this License and/or vacates the space and leaves behind any property whatsoever, said property will be deemed abandoned by Licensee and may be disposed of by Licensor at Licensee's expense.

Licensee will NOT:
Maintain or store any inventory of goods upon the premises.
Use the Premises for illegal purposes.
Tamper with, borrow, or remove property kept in another Licensee’s area without their express permission.
Cause or permit any hazardous substance to be used, stored, generated, released or disposed of on or in the Premises. “Hazardous” shall be determined in sole discretion of SURGEtacoma .
Act in a manner that, in SURGEtacoma sole discretion, does or is likely to adversely affect the peaceful operation and enjoyment of the premises of SURGEtacoma, or the building, including without limitation creating any disturbance to occupants of the SURGEtacoma premises or the greater building or their employees, licensees, guests or contractors.
Allow non-members access to the building without continuous accompaniment and for express business purposes, such as a meeting.

Licensee understands and agrees that:
If Licensee desires to amend the names of individuals who are assigned specific Memberships or prevent additionally purchased Memberships from automatically renewing, Licensee is responsible to provide notice at least 20 days prior to the end of the term. For month-to-month tenants, this means providing notice by the 10th of the month preceding termination (i.e., in order to end a membership by the first of a month, notice must be provided by the 10th of the preceding month).
This Space License with SURGEtacoma does not constitute a lease, but is rather a license between SURGEtacoma LLC and the Licensee for monthly licensing of a given space and common area (office tenants may have an additional sublease directly with SURGEtacoma which shall be a separate document). SURGEtacoma may terminate this license at any time and for any reason, provided they refund any amounts Licensee has already paid for future occupancy. There is no long-term agreement under this Space License unless specifically agreed elsewhere.
The access code and key(s) that Licensee is being provided are exclusively for Licensee’s purposes and will not be shared with anyone else without SURGEtacoma express written permission. Licensee will be charged for any keys that are lost or not returned.
Licensee is responsible for ensuring that all guests invited into the space comply with the policies outlined in this document.
Licensee must maintain any private area and all common areas in a neat, clean and in a sanitary condition. The common areas may be restricted from general access from time to time for events or other activities. SURGEtacoma shall aim to limit this impact on access.
Any signs, symbols, or pictures that Licensee wishes to place in the windows or doors of the premises, or upon any interior part of the building shall be subject to the approval of SURGEtacoma.

Neither SURGEtacoma LLC nor their respective agents shall be liable for, and Licensee agrees to defend and hold SURGEtacoma LLC and their respective agents harmless from, any claim, action and/or judgment for damages to property or injury to persons suffered or alleged to be suffered on the Premises by any person, firm or corporation. Licensee shall indemnify, defend and hold SURGEtacoma LLC harmless from and against all loss, cost and expense, including attorneys fees, arising from any act, omissions of negligence of Licensee or its officers, contractors, licensees, agents, servants, employees, guests, invitees or visitors in or about the Property. The foregoing provisions shall not be construed to make Licensee responsible for loss, damage, liability or expense resulting from injuries to third parties caused solely by the gross negligence or intentional misconduct of SURGEtacoma LLC or their officers, contractors, licensees, agents, employees of other tenant of the Property. Licensee specifically and expressly waives any immunity it may be granted it under the Washington State Industrial Insurance Act, Title 51 RCW: Licensee’s indemnity obligations under this lease shall by be limited by any limitation on the amount or type of damages, compensation or benefits payable to or for any third party under the Worker Compensation Acts, Disability Benefit Acts or other employee benefit acts. This paragraph has been specifically and mutually negotiated by the parties.

By signing up for a SURGEtacoma Membership, Member is indicating consent to all of the above terms and conditions for the length of said Membership. The Member/Licensee specifically consents that these conditions may be changed from time to time and hereby consents to the most recent version displayed at website.
